1.0 Definitions

1.1
|
The Company means Yellow Moon UK Limited.
|
|
1.2
|
The Organisation means any School, Group, Organisation, Charity or Firm who has joined the Fundraising Scheme.
|
|
1.3
|
Cash-back means the amount of money that the Company will pay to the Organisation.
|
|
1.4
|
Supporter(s) means any person using a source code allocated to an Organisation.
|
|
1.5
|
Source code is the unique identity reference code issued to each Organisation.
|
2.0 Joining
|
|
2.1
|
Any Organisation, subject to clause 2.3, may apply to join the Fundraising Scheme.
|
|
2.2
|
The Company reserves the right to refuse any application for entry to the Fundraising Scheme at its discretion.
|
|
2.3
|
Any Organisation applying for entry to the Fundraising Scheme must have a current bank account in its own name as cash-back payments will not be made to private individuals.
|
|
2.4
|
No joining fee will be charged.
|
3.0 Catalogues
|
|
3.1
|
Catalogues will be supplied free of charge to UK addresses only, subject to clause 3.3.
|
|
3.2
|
The minimum number of catalogues that can be ordered is 25.
|
|
3.3
|
Catalogues will be delivered by an independent carrier appointed by
the Company to one UK delivery address only per Organisation. Multiple site
deliveries of catalogues can not be made.
|
|
3.4
|
Whenever the Company produces, at its discretion, a new catalogue these may
be automatically sent free of charge to the Organisation unless the
Organisation has instructed the Company otherwise.
|
4.0 Cash-back
|
|
4.1
|
Payment will only be made by cheque, payable to the Organisation. Cheques will not be made payable to personal bank accounts.
|
|
4.2
|
Cash-back which is not claimed either by cheque encashment or request to the Company with 9 months from date of cheque issue will be deemed void and the cash-back will be retained by the Company.
|
|
4.3
|
Cheques will be issued in Pounds Sterling only.
|
|
4.4
|
Cash-back will be calculated twice a year, at the end of each catalogues relevant period of validity. A cheque payment for the relevant amount of cash-back accrued will be sent to the Organisation.
|
|
4.5
|
Cash-back cheques will not be issued for sums of five pounds or less. Where the amount of cash-back due to an Organisation amounts to five pounds or less the cash-back sum will be held by the Company until such time as the accrued amount of cash-back exceeds five pounds or the Organisation requests in writing that payment be made.

4.6
|
The amount of cash-back applicable to products in the fundraising catalogues will be up to 20% of the quoted selling price excluding delivery and VAT. The Company reserves the right to alter this percentage at any time. The publication of an amended cash-back percentage in a catalogue or on our website will be deemed as due notice of such a change.

4.7
|
Cash-back values are calculated exclusive of VAT and excluding delivery charges.
|
|
4.8
|
The Company reserves the right to deduct any cash-back allocated to an Organisation, where the payment that has been made for the goods that have been ordered is dishonoured. In such circumstances the Company will retain any such cash-back irrespective of whether subsequent payment is made for said goods and will offset such amount against the administrative costs incurred by the Company in obtaining payment.

5.0 Source code

5.1
|
The Company will allocate a unique source code to each Organisation.
|
|
5.2
|
The source code is the means by which cash-back is allocated to an Organisation and it is the responsibility of the Organisation to ensure that all their supporters quote the source code when ordering.
|
|
5.3
|
The Company will not accept liability for non allocation of cash-back to an Organisation where a source code is not quoted and/or incorrect.
|
6.0 Supply of goods
|

6.1
|
The Company agrees to supply goods to the Organisation's supporters, such supply being subject to the Company's Terms and Conditions of Trade, details of which are printed on the reverse of all invoices and are available on request.

6.2
|
The Company's Terms and Conditions of Trade apply in addition to those herewith stated.
|
7.0 Governing law
|
|
7.1
|
If any of these Terms and Conditions is held by any competent authority to be invalid or unenforceable in whole or in part the validity of the other provisions of these Terms and Conditions and the remainder of the provision in question shall not be affected.

7.2
|
The governing law is that of England and Wales.
|
